Terms of Service

These terms govern access to and use of the SmartXSP platform available at my.smartxsp.io, including its APIs, tag servers and integrations. The platform is operated by Edge Query SAS (OursBlanc), société par actions simplifiée with a share capital of €100,000, RCS Saverne — SIREN 851 509 315, registered office in Lutzelhouse, Alsace, France. In these terms, "SmartXSP", "we" and "us" mean Edge Query SAS. Where a signed contract exists between Edge Query SAS and a customer, that contract prevails over these terms on any point it addresses.

1. The service

SmartXSP provides a business-to-business platform for planning, producing, distributing and measuring digital advertising campaigns, as described on our overview page. The service is provided on a subscription or per-campaign basis to organisations, not to consumers.

2. Accounts

• Accounts are provisioned by SmartXSP for contracted customers. Registration is not open to the general public.
• You are responsible for keeping your credentials and API tokens confidential, and for everything done through your account. Notify us without delay at technical@smartxsp.io if you suspect unauthorised use.
• An account administrator may create, suspend and remove users within their own organisation, and is responsible for the permissions they grant.

3. Acceptable use

You agree not to use the platform to:

• distribute advertising that is unlawful, deceptive, defamatory, or that infringes third-party intellectual property or privacy rights;
• run creatives containing malware, cryptomining, forced redirects or code that attempts to identify individuals without a valid legal basis;
• circumvent the platform's access controls, probe or load-test it without written authorisation, or attempt to access another customer's data;
• resell or sublicense access without our written agreement, or use the platform to build a competing service.

You are responsible for complying with the policies of the advertising platforms you connect, including Google's advertising and API policies, and with applicable advertising, consumer protection and data protection law in the markets you target.

4. Customer content and connected accounts

You retain all rights in the creatives, feeds, audience definitions and other content you upload. You grant SmartXSP a non-exclusive licence to host, process, adapt and transmit that content for the sole purpose of operating the service on your behalf — including pushing it to the buying platforms you have connected.

When you connect a Google account or another advertising platform, you confirm that you are authorised to do so and that SmartXSP may act on that platform on your instructions, within the scopes you granted. You may revoke that authorisation at any time; campaigns already running on that platform then remain under your sole control.

5. Third-party platforms

The service depends on platforms we do not operate, including Google Display & Video 360, Campaign Manager 360, Google Ad Manager and Google Tag Manager. Their availability, pricing, reporting figures and policies are outside our control. Discrepancies between a third-party platform's reporting and SmartXSP's own consolidated figures are expected and are reconciled according to the method agreed in the applicable contract.

6. Fees

Fees, billing frequency, currency and payment terms are set out in the applicable contract, purchase order or insertion order. Media spend committed on connected platforms is your obligation towards those platforms unless the contract states that SmartXSP purchases the media. Late payment may result in suspension of access after written notice.

7. Availability and support

We aim for continuous availability and perform maintenance outside peak hours where possible. Unless a service level agreement is attached to your contract, the service is provided on a commercially reasonable efforts basis. Support is available by email at technical@smartxsp.io during business hours.

8. Confidentiality and data protection

Each party keeps the other's non-public information confidential and uses it only to perform under these terms. Processing of personal data is described in our Privacy Policy and, where required, in a data processing agreement forming part of the contract.

9. Intellectual property

Edge Query SAS and its licensors retain all rights in the platform, its software, templates, documentation and trademarks. No right is granted other than the right to use the service during the term of your subscription.

10. Warranties and liability

Except as expressly stated, the service is provided without warranty of fitness for a particular purpose. Neither party excludes liability for wilful misconduct, gross negligence, death or personal injury, or for any liability that cannot be excluded by law. Subject to that, SmartXSP is not liable for indirect or consequential loss, including lost profits, lost advertising revenue or loss of data, and its aggregate liability is limited to the fees paid for the service during the twelve months preceding the event giving rise to the claim.

11. Suspension and termination

Either party may terminate as provided in the applicable contract. We may suspend access immediately where necessary to protect the platform, its other customers or a third party — for a security incident, a breach of section 3, or a legal requirement — and will tell you why. On termination, access ceases and data is retained or deleted in line with the retention periods in our Privacy Policy; an export of your campaign data can be requested before the account is closed.

12. Changes to these terms

We may update these terms; the date at the top of the page reflects the current version. Material changes are notified to account administrators by email at least thirty days before they take effect.

13. Governing law

These terms are governed by French law. Any dispute relating to the use of the platform falls under the exclusive jurisdiction of the competent courts of the district of Edge Query SAS's registered office, unless a mandatory legal provision or the applicable contract provides otherwise.
